SISU TERMS OF USE

1. Agreement and About Sisu
These Terms of Use govern your access to and use of Sisu, including the Sisu iOS and Android applications, websites, software, payment workflows, and related services. Sisu is operated by VILJAMAA, ERIK MINH, ABN 47 575 207 237, Australia (Operator, we, us, or our).
Sisu is a technology platform only. We provide software workflows and payment instructions through Stripe. We are not a bank, escrow agent, trustee, fiduciary, arbitrator, mediator, court, investigator, insurer, or guarantor of any user outcome.
By using Sisu, you agree to these Terms. If you do not agree, do not use Sisu, join a Squad, create a Goal, upload proof, vote, or stake money.
2. Eligibility
You must be at least 18 years old, have legal capacity to enter a binding contract, and be legally permitted to use payment services in Australia. You must not use Sisu if doing so would breach law, sanctions, payment-provider rules, or app-store rules.
3. Accounts
You must provide accurate account information and keep it current. Google sign-in may be required as implemented. You are responsible for your credentials, devices, account activity, invite codes, and every action taken through your account. Do not share access or allow another person to use your account.
We may refuse, suspend, restrict, or terminate an account for any reason permitted by law, including chargeback abuse, fraud risk, illegal content, underage use, scraping, circumvention, security abuse, or reputational or legal risk to the platform.
4. Squads, Goals, Stakes, Proof, Voting and Settlement
Squads are groups of users formed through invitations or invite codes. Squads may contain leaders and members. Roles are product roles only. They do not create agency, partnership, employment, fiduciary duties, or responsibility by the Operator for any member.
A Goal is a user-defined objective with a deadline and, where applicable, a stake, proof requirement, proof-upload window, recurring schedule, penalty, or quit fee. Users are responsible for choosing Goals, deadlines, stakes, penalties, and recurring settings that they understand and can afford.
Where a flow requires proof, proof photos or other evidence must be uploaded within the applicable window. Proof may be visible to Squad members for voting. Sisu does not guarantee that proof is authentic, complete, accurate, or sufficient.
Squad members may vote pass or fail. Majority pass/fail votes, exit votes, stake or penalty approvals, and similar Squad decisions are final between users for purposes of triggering the payment flows the product is designed to run. Users accept the risk of unfair, biased, wrong, abusive, clique-driven, or bad-faith votes by joining a Squad and staking money.
Recurring Goals may require renewed Squad approval of stakes or penalties. A Goal Quitter fee or other fee may apply where shown in the product before confirmation. Settlement may occur through Stripe Connect Express to other members according to the configured product rules.
How stakes work
Authorize or hold → proof window → Squad vote → on fail, capture and transfer under the product rules; on pass, release the authorization as applicable. This is peer accountability using Stripe payment rails. It is not Operator-held escrow, a stored-value wallet, or an Operator-run wagering pool.
5. No Operator Role in User-to-User Disputes
All trust, fairness expectations, honesty expectations, proof standards, voting norms, social conflict, alleged abuse within a Squad, and money consequences of Goals are solely between Squad members. The Operator has no responsibility for how Squad members behave toward each other.
The Operator will not investigate, review, reverse, adjust, refund, mediate, or adjudicate disputes about Goals, proof authenticity, voting fairness, social conflict, alleged bullying or harassment between friends in a Squad, who deserved to win or lose, or similar matters. Resolve those matters outside the app or leave and stop using the Squad.
Any suspension, termination, content removal, or payment-feature restriction is solely to protect the platform, comply with law or Stripe, Apple, or Google requirements, or stop clear platform abuse. It is not a dispute-resolution service and creates no duty to decide who is right between users.
To the maximum extent permitted by law, you waive claims against the Operator arising from Squad votes, proof submitted by others, stakes charged or released based on Squad decisions, transfers to or from users, social disputes, alleged unfairness, and any expectation that the Operator would police honesty between friends.
6. Payments, Stripe, Wallet and Fees
Payment processing is provided by Stripe. Stripe’s terms apply in addition to these Terms. Currency is AUD. Platform fee: none. Sisu does not charge its own platform fee. Stripe’s standard processing fees and any card, payout, or network fees charged by Stripe may still apply and are paid under Stripe’s pricing — they are not a Sisu fee. Those Stripe fees may still apply and may be borne by users as configured.
The Operator does not hold user funds as a custodian and does not owe users a cash balance. The Wallet screen is informational history of charges, releases, and transfers facilitated through Stripe. It is not a bank account, stored-value account, custodial account, or promise of cash owed by the Operator.
You are solely responsible for Stripe Connect onboarding and verification, KYC information, payout destinations, sufficient funds, card declines, expired authorizations, bank delays, failed payouts, and tax consequences of paying or receiving money. No payout timing is guaranteed.
Chargebacks and issuer disputes must be handled with the relevant payment providers. We may suspend or terminate accounts for chargeback abuse or payment-rail risk. We are not required to side with a user in the social dispute underlying a chargeback. Unauthorized or mistaken peer transfers caused by Squad decisions are not Operator errors.
7. User Content and Proof License
You retain ownership of content you submit. You grant the Operator and Squad members a worldwide, royalty-free, non-exclusive license to host, store, display, reproduce, transmit, and process proof and related content as needed to operate Sisu, run Squad workflows, process votes, provide support, comply with law, and protect the service.
Do not upload illegal content, infringing content, private third-party content without rights, sexual content involving minors, malware, or content that violates law or app-store rules. Fake or misleading proof intended to deceive Squad members is prohibited and may be treated as platform abuse. The Operator has no duty to forensically verify proof authenticity for Squad fairness and may remove content at its sole discretion.
8. Prohibited Conduct
You must not use Sisu for illegal activity, underage use, threats, harassment, fraud against payment rails, payment or fee circumvention, scraping, reverse engineering, impersonation, service interference, credential abuse, malware, or evasion of account restrictions.
You must not use Sisu to operate a real-money gambling product beyond the peer accountability stake mechanics described in these Terms. Sisu is not an Operator-run wagering pool, casino, sportsbook, prize pool, or betting service.
9. Notifications
Local notifications, reminders, sync, and device delivery may fail, be delayed, be blocked, or be disabled. A missing notification does not extend a deadline, excuse a missed Goal, reverse a Squad decision, or create Operator liability.
10. Intellectual Property
The Sisu app, brand, name, logo, software, designs, workflows, documentation, and related intellectual property belong to the Operator or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use Sisu for personal, lawful use. No other rights are granted.
11. Disclaimers
Sisu is provided AS IS and AS AVAILABLE. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for purpose, title, accuracy, availability, uninterrupted access, security, error-free operation, fair votes, authentic proof, successful payouts, successful authorizations or releases, and delivery of notifications.
Outages, bugs, data loss, delayed sync, payment-provider failures, bank or network delays, and notification failures do not create Operator liability for missed deadlines, lost stakes, failed transfers, or Squad outcomes, except to the extent liability cannot be excluded under Australian law.
12. Limitation of Liability
To the maximum extent permitted by law, the Operator is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunity, emotional distress, reputational harm, or social or Squad conflict damages.
To the maximum extent permitted by law, the Operator’s aggregate liability for all claims relating to Sisu is capped at the lesser of: (a) total fees actually paid by you to the Operator in the prior 12 months; or (b) AUD $100. Amounts staked, charged, transferred, held, released, or received between users via Stripe are not fees paid to the Operator and are excluded from recovery against the Operator to the maximum extent permitted by law.
You acknowledge that you use Squads and stake money voluntarily and at your own risk.
13. Indemnity
You indemnify and hold harmless the Operator and its officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, costs, and legal fees arising out of or related to your Goals, stakes, votes, proof, content, Squad conduct, disputes with users, tax issues, Stripe Connect use, chargebacks, breach of these Terms, or violation of law, including claims by Squad members that an outcome was unfair.
14. Suspension and Termination
We may suspend or terminate access, restrict payment features, disable accounts, remove content, cancel workflows, or block access at our sole discretion for any reason permitted by law. Termination does not erase amounts already due, payment-provider obligations, chargeback obligations, indemnities, disclaimers, limitations, or other provisions intended to survive.
15. Changes
We may change these Terms by posting an updated version or providing notice in the app. Continued use after posting or notice is acceptance of the changed Terms. If you do not accept them, stop using Sisu.
16. Governing Law and Exclusive Jurisdiction
These Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales, Australia have exclusive jurisdiction, subject to any non-excludable rights under applicable law.
17. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot be excluded, restricted, or modified under the Australian Consumer Law or other non-excludable law. Where liability cannot be excluded, we limit remedies to resupply of the services or payment of the cost of resupply where permitted. All other exclusions and limits apply to the maximum extent permitted by law.
18. Contact and General
Contact: support@getsisu.app. These Terms are the entire agreement between you and the Operator about Sisu. If any provision is unenforceable, it is enforced to the maximum extent allowed and the remainder continues. No waiver is effective unless stated by the Operator. The Operator may assign these Terms and its rights without restriction. You may not assign your account or rights without our written consent.
